Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Axe & Node platform ("Service"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of a fire department or municipality, you represent that you have authority to bind that organization.

1. The Service

Axe & Node provides a web-based records management platform for fire departments and emergency services organizations. The Service includes modules for member management, certification tracking, training records, apparatus management, LOSAP tracking, compliance documentation, and related features as described on our website.

The Service supports documentation practices. It does not certify, guarantee, or constitute compliance with any federal, state, or local law, regulation, or standard, including NFPA standards, OSHA regulations, ISO grading criteria, or any other requirement. Compliance with applicable requirements is your responsibility.

2. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@axeandnode.com if you suspect unauthorized access.

Each subscription covers one department (one tenant). Multi-station arrangements are available under a separate agreement.

3. Subscription and Payment

Subscriptions are billed monthly in advance. Current pricing is available at axeandnode.com/pricing. We reserve the right to change pricing with 30 days' written notice to active subscribers.

Payments are processed through our payment processor. We do not store your payment card information. All fees are non-refundable except as required by applicable law or as described in Section 5.

4. Your Data

You own your data. All department records, member information, training logs, and operational data you enter into the Service remain your property. We do not claim any ownership interest in your data.

You grant us a limited license to store, process, and display your data solely to provide the Service to you.

You can export your data in CSV format at any time from within the platform. Upon cancellation, you have 90 days to request a data export before your data is deleted.

5. Cancellation

You may cancel your subscription at any time by contacting us at hello@axeandnode.com. Cancellation takes effect at the end of your current billing period. You will retain access through the end of the paid period.

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that we determine, in our reasonable judgment, poses a risk to the Service or other users.

6. Acceptable Use

You agree not to:

  • Use the Service for any purpose other than fire department or emergency services records management
  • Attempt to access another department's data
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to store or transmit malicious code
  • Circumvent any security or access control features
  • Share your login credentials with individuals outside your department

7. Uptime and Support

We make reasonable efforts to maintain platform availability. We do not guarantee any specific uptime percentage. Planned maintenance will be communicated in advance when feasible. Emergency maintenance may occur without notice.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXE & NODE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOST PROFITS, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend and indemnify Axe & Node from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Erie County, New York, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 30 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
